Canadian Terms and Conditions 

 

Effective April 1, 2024

 

New Accounts

 

  1. All new accounts are subject to approval. Registrations made on www.pikaandbear.com will be reviewed prior to full access to the ordering platform.
  2. Additional information about your business may be requested prior to the opening of a new account.
  3. Pika & Bear™ reserves the right to limit the number of accounts within a sales region, as well as expand the number of accounts in any location. These decisions are based on diligent research, and market assessment. All new accounts are opened at the discretion of Pika & Bear™ head office.
  4. All new accounts are subject to a minimum opening order, prior to shipping fees and taxes, of $750.00 CAD at trade events, or during an in-store appointment with a sales rep. The minimum opening order for an order placed online, prior to shipping fees and taxes, is $500.00 CAD.
  5. There is no minimum dollar value assigned to repeat orders once an account has been established.
  6. All accounts are required to hold all required licenses, and permits, as well as abide by any, and all, other regulatory standards as set by law within their business jurisdiction. 

 

Protection of Account Availability For Your Market Region (Limited Exclusivity)

 

g)   Pika & Bear™ strives to provide a significant market share to each retailer within their specific market region(s)/location(s). We also know that a brand must have a certain level of market presence to establish awareness, and create impact. Each situation is analyzed on a case-by-case basis. Historically, retailers with significant brand representation, who are able to meet our targets for a specific geographical region, have maintained a high degree of exclusivity, grown their sales, and enjoyed customer loyalty to the Pika & Bear™ brand. If representation, and/or performance falls below the statistical performance of comparable retail environments, Pika & Bear™ reserves the right to open additional accounts, at their discretion, within a market region.

REGISTRATION DOES NOT PROTECT ACCOUNT 

 

h)   Upon the opening of an approved account (access to website), the account holder retains the privilege to secure the limited exclusivity of the Pika & Bear™ account for their market region(s)/location(s), by placing the minimum opening order for each storefront they wish to place the line in. Until an opening order(s) is/are placed, the following apply:

 

    • Our sales representatives are permitted to actively pursue accounts in the market region(s) of the account registrant.
    • All account registrations, within the registrants market regions(s), made by other parties, will have the same opportunity to place an opening order(s), and secure account limited exclusivity for the given region(s).
    • If another party places an opening order(s) prior to your party in your market region(s), the opportunity of your party to carry the Pika & Bear™ line will be lost for the market region(s) the order(s) was/were placed for.

 

*If you are definitely interested in our line, but have a specific purchasing timeline, protection may be granted on a case-by-case basis. If this applies to you, please actively communicate your business/purchasing plans with us to avoid disappointment.

 

Closure of Accounts/Inactive Accounts

 

  1. Accounts which have not placed an orders for a period of (1) calendar year will be deemed “inactive”, and considered closed. At this time Pika & Bear will seek to establish a new account in the market area. An account may be re-opened after being closed by placing the minimum order, if and only if, the account space is still available in the market region.
  2. Pika & Bear™ reserves the right to close any account, without notice and/or without cause.

 

Payment

 

  1. Accepted forms of payment include credit card (Visa/Mastercard/American Express™), cheque by mail, e-transfer, direct deposit, or EFT/Wire transfer.  Full payment is due prior to the shipment of goods, unless terms have been established with Pika & Bear™ head office.
    • Payment may be made online by credit card (Visa/ Mastercard/American Express™) at the time of order placement. If desired, requests may be made to be contacted by telephone for credit card payments. Credit card numbers will not be kept on file without the expressed consent of the account holder.
    • Cheques sent by mail may be sent to 3030B 13th Ave, Regina, SK S4T 1N9. Canada. Please make all cheques payable to Pika & Bear.
    • N.S.F charges: A fee of $75.00 will be charged for any cheques returned N.S.F. Upon receipt of a second N.S.F no future cheques will be accepted.
    • E-transfers can be sent to pikaandbear@myaccess.ca  *Pika & Bear™ is set up for automatic deposit. A security question and answer is not required.
    • For direct deposit or EFT/Wire transfers, please contact Pika & Bear™ at pikaandbear@myaccess.ca for bank deposit information.
  1. Shipments will not be released until full payment has been received, unless terms have been established with Pika & Bear™ head office. All goods remain property of Pika & Bear™ until paid in full.

 

Credit Terms

 

  1. Terms are established only with the approval of Pika & Bear™ head office.
  2. A credit application, and/or reference check, may be required prior to terms being issued.
  3. Pika & Bear™ reserves the right to end terms with frequently delinquent, or seriously overdue accounts.
  4. Accounts past due will be subject to an annual 15% interest charge calculated on a monthly basis.
  5. Debt Collection. In the case of a seriously overdue account which we have been unable to collect payment from, Pika & Bear™  reserves the right to transfer your data to a third-party debt collection agency. This data will used solely for the recovery of any outstanding payment owed to Pika & Bear™

Limited Warranty

 

Upon Delivery Of Shipment Until Sold To Your Client

 

Please inspect items upon delivery. Any, and all, defective items identified at the time of delivery will be replaced, or a credit  applied to the account holder’s account.

 

Exclusions 

 

Any, and all, items that have been damaged as a result of mishandling by the public, and/or shopworn, as a result of being handled by the public. Environmental tarnish. Shopworn tags and/or packaging.

 

1 Year Limited Warranty

(Jewelry Only)

Items purchased with retained receipt or retailer record of purchase, will be subject to Pika & Bear’s™ one year limited warranty policy. Pika & Bear™ will replace or repair defective or failed merchandise, for up to one year, with proof of purchase date by receipt or retailer verification. This policy includes all failed or defective clasps, chains, setting of stones, and/or errors of workmanship.

 

Exclusions

 

Plating, except items listed as “vermeil” and “gold filled.” Items where there is evidence of abuse, alteration, impact damage, dropping, metal fatigue created as a result of repeated bending, abrasion, or any other environmental force deemed beyond reasonable use. Items subject to foreign chemicals including, but not limited to, all acids, airborne pollutants (sulphur, smog, carbon), saltwater, oils, alcohols, grease, chlorine, bleach, and/or cosmetic products. 

 

Method of Claim

 

Warranty claims may be made by the retailer on behalf of the client by contacting us directly at pikaandbear@myaccess.ca and including photo(s) and a brief description of the damage, as well as evidence of original date of purchase. Items will be repaired, replaced, or a credit issued to the account holder upon receipt of damage report. The purchasing client is also welcome to contact us directly for warranty service at pikaandbear@myaccess.ca

 

Credits 

 

All credits will automatically apply to the next order placed, and do not require any action on the account holders part. To view available credits on your account please log-in to your account at www.pikaandbear.com. 

 

Return of Damaged Goods

 

In most cases, return of goods is not required for damage claims. In certain circumstances, our designers may request an item be returned to evaluate the damage and/or run laboratory tests on the failed items. This can provide valuable information to us which may be used to improve the quality of our products. When asked for an item to be returned, the account holder will be credited for the return shipping fees.

Shipping

 

  1. A $15.00 CAD flat rate shipping and handling fee applies to all orders shipped within Canada.
  2. All orders will ship expedited via Canada Post, and will be tracked and insured for the full order value. 
  3. Goods lost in transit, will promptly be re-shipped, upon acknowledgement of loss by carrier.
  4. Shortages. Please report missing items from your order immediately. When available, missing items will be replaced immediately. If an item is not in stock, a credit will be issued to your account.
  5. Damaged packages. Please note and photograph any damaged or crushed packages upon arrival. Should we require to make a claim with the carrier, this is essential evidence.

 

Production Orders/Backorders

 

  1. Items not available at the time of requested ship date, or requiring handmade production, valued at over $100.00 CAD will automatically be moved to a backorder/production order. When ready to ship only one production/backorder will ship. No additional shipments will be sent unless requested by the account holder. Backorders/production orders under $100.00 CDN will be cancelled.
  2. Production Orders / Large Quantities / Custom Orders / Collaborations: Please contact us directly if large quantities, or customized orders are required.
  3. All backorders, and production orders, are subject to our flat rate shipping fee of $15.00 CAD.

 

 Selling to Third Party Vendors

 

Under no circumstances will any accounts be permitted to re-sell Pika & Bear™ products to non-established accounts for the purpose of resale. Evidence of this activity taking place may result in the immediate termination of the account.

 

De-branding/Re-branding

 

  1. Under no circumstances are Pika & Bear™ products to be de-branded by the removal of any Pika & Bear™ brand identifiers prior to the sale of our products, including but not limited to, carding, tags, stickers, metal tags, engraved logos, and any other items which indicate the Pika & Bear™ brand provenance.
  2. Under no circumstances are Pika & Bear™ products to be re-branded, and/or packaged under any other company brand or trademark, including, but not limited to, the name of the authorized account holders business (this policy does not include  final packaging at point of sale, (ie. company bags, gift boxes etc.).)
  3. Evidence of either a) or b) above taking place will immediately void all warranties, and may result in the closure of the account holders account, and/or loss of exclusivity in your market share region.
  4. Exceptions to the above may be made on a case-by-case basis with permission from Pika & Bear™ if the purpose is explicitly, stated as a means to 1) to reduce packaging with a goal of minimizing environmental waste AND 2) doing so does not create ambiguity, or obscure Pika & Bear™ brand provenance, and/or provide a lessor quality experience, and/or deprive the end user of the final intent/use/ and/or care of the purchased product.
  5. Re-branding/ debranding of intellectual property/copyrighted designs may lead to legal action.

 

Online Sales

 

  1. Online sales are only permitted on websites which represent the account holder’s business exclusively.  
  2. Active accounts may use social media marketing methods such as Facebook™, X™, Instagram™, Tik-Tok™ etc. to promote Pika & Bear™ products, and brand image.

 

Use of Intellectual/Artistic Property

 

The Pika & Bear™ name and trademark(s) remain exclusive intellectual property of Pika & Bear™, and may only be reproduced or used with the expressed consent of Pika & Bear™. Periodically, marketing materials may be supplied to established vendors for use in print media or for other promotional or marketing purposes. Vendor inquiries are welcome for specific promotional requests which require the use of digitally formatted Pika & Bear™ advertising, and branding materials. 

 

Wholesale Only Commitment

 

Pika & Bear™ is exclusively a wholesaler, and does not sell products, at this time, online or directly to the public in any capacity. We view this as an essential commitment to maintaining strong relationships with our retailers as allies, not as competitors, in an already difficult market.
